Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the website filemybooks.com and all services offered therein ("Platform"), operated by Indian Startup School Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at 5th Floor, Two Horizon Centre, DLF Phase V, Gurugram, Haryana, India – 122002 ("Company", "we", "us", or "our").

By accessing our Platform or purchasing any service, you ("User", "Client", "you") agree to be bound by these Terms. If you do not agree, please do not use our Platform.

1. 2.1File My Books offers technology-enabled accounting, bookkeeping, GST filing, TDS filing, company registration, compliance management, and related financial services ("Services") through its Platform.
2. 2.2The Services are delivered through a network of verified, qualified third-party chartered accountants and financial professionals ("Professionals") engaged by the Company. These Professionals are independent third parties and not employees of the Company. However, they are onboarded, verified, and monitored by us to ensure quality and reliability.
3. 2.3The Company acts as a technology intermediary and service coordinator. All professional work is performed by qualified Professionals under applicable Indian law including the Chartered Accountants Act, 1949.
4. 2.4The exact scope of services included in each plan is as described on the Platform at the time of purchase. The Company reserves the right to modify service inclusions with prior notice.

1. 3.1You agree to provide accurate, complete, and timely information, documents, and data required for the performance of Services, including but not limited to bank statements, invoices, expense records, Aadhaar, PAN, GST credentials, and any other documents requested by your assigned Professional.
2. 3.2Timely submission of data is your responsibility. The Company and its Professionals shall not be liable for delays, penalties, interest, or non-compliance arising from your failure to provide required information or documents within stipulated timelines.
3. 3.3You represent that all information and documents provided to us are genuine, accurate, and legally obtained. You shall be solely liable for any consequences arising from incorrect or fraudulent information provided to us.
4. 3.4You are responsible for maintaining the confidentiality of your account credentials. Any activity on your account will be deemed to have been carried out by you.

1. 4.1Limited Liability. The Company's liability is strictly limited to errors or omissions directly caused by the Company or its assigned Professionals, provided that all required data and documents were duly submitted by you in complete and accurate form within the required timelines.
2. 4.2User Liability. If a filing error, delay, penalty, or non-compliance arises due to your failure to provide accurate, complete, or timely data, documents, or approvals, the Company and its Professionals shall bear no liability whatsoever. You shall be solely responsible for all resulting penalties, interest, and consequences.
3. 4.3The Company does not guarantee specific outcomes from any regulatory, legal, or financial process. Acceptance of filings, registrations, or returns is subject to the discretion of the relevant government authority.
4. 4.4In no event shall the Company's aggregate liability to you exceed the total fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.
5. 4.5The Company shall not be liable for any indirect, incidental, consequential, or special damages, loss of profit, or loss of business opportunity.

1. 5.1All prices on the Platform are inclusive of applicable taxes unless stated otherwise.
2. 5.2Payments are processed securely through Razorpay. By making a payment, you agree to Razorpay's terms of service in addition to these Terms.
3. 5.3One-Time Services: All payments for one-time services (including but not limited to company registration, GST registration, PAN/TAN registration) are non-refundable once the service has been initiated. Initiation is deemed to occur upon receipt of payment and commencement of work by an assigned Professional.

5.4 Subscription Plans

Monthly subscription plans are billed on a recurring basis. You may cancel your subscription at any time before the next billing cycle is generated. Upon cancellation:

• You will continue to receive full services for the remainder of the current billing month.
• No refund will be issued for the current month's subscription fee, whether full or partial.
• From the following billing cycle, no further charges will be made.

5.5 Mid-cycle cancellations do not entitle the User to any pro-rated refund. The service remains active and accessible until the end of the paid period.

5.6 The Company reserves the right to revise pricing with thirty (30) days' prior notice. Continued use of the service after the effective date constitutes acceptance of the revised pricing.

1. 6.1You may cancel your subscription at any time through your account dashboard or by writing to us at hello@filemybooks.com.

6.2 The Company reserves the right to suspend or terminate your account and access to Services with immediate effect in the event of:

• Breach of these Terms
• Non-payment of dues
• Submission of fraudulent or misleading information
• Any conduct that is unlawful or harmful to the Company or its Professionals

6.3 Upon termination, your data will be handled in accordance with our Data Protection Policy and applicable law.

1. 7.1Data We Collect. In the course of providing Services, we collect and store personal and financial data including but not limited to your name, contact details, PAN, Aadhaar, bank account information, financial statements, invoices, and other KYC and compliance documents ("Personal Data").
2. 7.2Legal Basis. We process your Personal Data on the basis of your explicit consent and for the performance of the contractual services you have subscribed to, in accordance with the Digital Personal Data Protection Act, 2023 ("DPDP Act") and the Digital Personal Data Protection Rules, 2025.
3. 7.3Purpose Limitation. Your Personal Data is collected and used solely for the purpose of delivering the Services you have subscribed to, fulfilling applicable regulatory and legal obligations, and improving our Platform. We do not use your data for unrelated marketing or commercial purposes without your separate consent.
4. 7.4Data Storage. Your documents and Personal Data, including Aadhaar, PAN, and financial records, are stored on secure servers. We implement industry-standard technical and organisational safeguards including encryption at rest and in transit, role-based access controls, and regular security audits to protect your data.
5. 7.5Data Sharing. Your data may be shared with your assigned Professional solely for the purpose of delivering the Services. We do not sell, rent, or trade your Personal Data to any third party. Data may be disclosed to government authorities as required by law.
6. 7.6Data Retention. We retain your Personal Data only for as long as necessary to fulfil the stated purpose or as required under applicable law (including the Companies Act, Income Tax Act, and GST law). Upon expiry of the retention period or upon your valid request, data will be securely deleted.

7.7 Your Rights. Under the DPDP Act, 2023, you have the right to:

• Access a summary of your Personal Data held by us
• Correct or update inaccurate data
• Request erasure of your data (subject to legal retention obligations)
• Withdraw consent at any time (which may result in discontinuation of Services)
• File a grievance with our Grievance Officer

7.8 Grievance Officer. For any data-related concerns, you may contact our Grievance Officer at: hello@filemybooks.com. We will respond to grievances within the timelines prescribed under applicable law.

1. 8.1All content on the Platform including text, graphics, logos, software, and reports generated by us are the intellectual property of the Company and may not be reproduced, distributed, or used without prior written permission.
2. 8.2You retain ownership of all documents and data you submit to us. By submitting data, you grant us a limited, non-exclusive licence to use it solely for delivering the Services.

1. 9.1Professionals on the Platform are independent third-party chartered accountants and financial experts. The Company does not guarantee specific outcomes of their work beyond what is reasonably expected under professional standards.
2. 9.2The Company verifies the credentials and qualifications of all Professionals before onboarding. However, the Company is not responsible for the independent professional judgement exercised by a Professional in the course of delivering services.
3. 9.3Any dispute between you and a Professional regarding professional conduct may be raised with us and, if appropriate, referred to the Institute of Chartered Accountants of India (ICAI).

1. 10.1These Terms shall be governed by and construed in accordance with the laws of India.
2. 10.2Jurisdiction. Any disputes arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
3. 10.3Arbitration. Notwithstanding the above, either party may elect to resolve any dispute through binding arbitration conducted in New Delhi, India, in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English by a sole arbitrator mutually appointed by both parties. The award of the arbitrator shall be final and binding.

The Company reserves the right to update these Terms at any time. Changes will be posted on the Platform with an updated effective date. Continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
